Cancellation of convened Ordinary and Extraordinary Shareholders' Meeting and new convening

CANCELLATION OF CONVENED ORDINARY AND EXTRAORDINARY SHAREHOLDERS’ MEETING AND NEW CONVENING

Milan, 23 March 2020 – The company announces that, due to the unavailability of Mediobanca’s premises for the Ordinary and Extraordinary Shareholders’ Meeting of April 23 and 24, 2020 and in consideration of the new provisions set out in the Legislative Decree no. 18 of March 17, 2020, the Board of Directors of Falck Renewables S.p.A., which met today, resolved to revoke the aforementioned Shareholders’ Meeting, which therefore won’t take place.

A new Ordinary and Extraordinary Shareholders’ Meeting will be convened at the registered office in Milan, Corso Venezia 16, on May 7, 2020 at 11.00 am on first call and, if necessary, on second call on May 8, 2020 at the same time and place. The Board of Directors confirms that it will propose to the aforesaid Shareholders’ Meeting the distribution of an ordinary unitary dividend, gross of legal withholdings, of Euro 6.7 cents per share, for a total of approximately Euro 19.5 million with ex-dividend date no. 15 on May 18, 2020 (record date on May 19, 2020) and payment as from May 20, 2020.

The notice of call and the documentation related to the Shareholders’ Meeting will be published in accordance with the applicable laws and regulations.
